Terms of Service
Effective date: August 4, 2026
These Terms of Service ("Terms") govern your access to and use of Xavel, a business management platform operated by Rxtsel LLC, A Series of OtoCo DE LLC ("Rxtsel," "we," "us," or "our"). By creating an account or accessing the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Xavel is a cloud-based platform that helps businesses create and send invoices, manage clients, and connect payment providers. Xavel is not a payment processor or money transmitter. All payments facilitated through the Service flow directly between your connected payment provider accounts (such as Stripe, MercadoPago, or Wompi) and your clients. Xavel does not hold, process, or take custody of funds at any point.
2. Beta Program and Early Access
Xavel is currently offered in an early-access beta program to a limited set of invited users ("Beta Users"). By accepting an invitation to the beta program, you acknowledge and agree that:
- The Service is provided in a pre-release state and may contain bugs, errors, or incomplete features.
- Features, pricing, and functionality are subject to change without notice at any time.
- Beta access may be revoked at our sole discretion, for any reason and without liability.
- The Service is provided free of charge during the beta period; this does not create any obligation on our part to continue providing the Service at no cost.
- You are encouraged·but not required·to provide feedback to help us improve the Service.
3. Feedback and Intellectual Property Assignment
If you submit any feedback, suggestions, ideas, enhancement requests, bug reports, recommendations, or other communications ("Feedback") relating to the Service, you hereby assign to Rxtsel, without compensation of any kind, all right, title, and interest in and to that Feedback, including all intellectual property rights. Rxtsel may use, reproduce, modify, distribute, and commercialize Feedback for any purpose without restriction or attribution. You waive any moral rights or rights of attribution you may have in such Feedback to the extent permitted by applicable law.
By providing Feedback, you represent that you have the right to grant the above assignment and that the Feedback does not infringe any third-party rights. You are not entitled to any royalties, fees, or other compensation for Feedback, regardless of whether we use it.
4. Account Registration
You must create an account to use the Service. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately via our contact page if you suspect unauthorized access to your account.
You may not share your account with others or create accounts for the purpose of automating access or circumventing any restrictions.
5. Payment Providers and Financial Data
The Service allows you to connect third-party payment provider accounts (e.g., Stripe, MercadoPago, Wompi) to collect payments from your clients. By connecting a payment provider, you agree to that provider's terms of service and privacy policy. Xavel is not a party to transactions between you and your clients and is not responsible for:
- Payment failures, refunds, chargebacks, or disputes;
- Errors or outages in third-party payment provider systems;
- Taxes, compliance obligations, or regulatory requirements related to your payments;
- Any losses arising from your use of a connected payment provider.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation;
- Infringe the intellectual property rights of any third party;
- Send unsolicited communications or spam;
- Introduce malware, viruses, or other harmful code;
- Attempt to gain unauthorized access to any system or network;
- Engage in fraud, misrepresentation, or deceptive practices;
- Resell, sublicense, or commercialize access to the Service without our written consent.
7. Intellectual Property
The Service, including its design, software, trademarks, and content, is owned by Rxtsel and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You retain ownership of the data and content you upload to the Service ("Your Content"). You grant Rxtsel a non-exclusive license to use Your Content solely to provide and improve the Service.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, RXTSEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. THIS DISCLAIMER APPLIES WITH PARTICULAR FORCE DURING THE BETA PERIOD.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RXTSEL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO RXTSEL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
10. Indemnification
You agree to defend, indemnify, and hold harmless Rxtsel and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Service at any time. Upon termination, your license to use the Service ceases immediately. Provisions that by their nature should survive termination·including Sections 3, 7, 8, 9, 10, and 12·will survive.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice within the Service. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
